These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“Client” or “you”), and SwarupTech (“Company,” “we,” “us,” or “our”), concerning the provision of website design, development, and related services as outlined in the project proposal or statement of work (“SOW”) and the use of our website http://www.swaruptech.com (“Site”). By engaging our services or accessing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you are expressly prohibited from using our services or the Site and must discontinue use immediately.

1. SCOPE OF WORK

1.1 Services: SwarupTech agrees to provide website design, development, and related services strictly as described in the SOW or project proposal and associated quotation. Any services or features beyond the agreed scope will be considered additional work and will incur extra charges, as mutually agreed in writing prior to commencement.
1.2 Timeline: Both parties agree to adhere to the project timeline specified in the SOW. Changes to the timeline require mutual written consent or documented agreement.

2. CLIENT RESPONSIBILITIES

2.1 Content Provision: The Client must provide all necessary content (text, images, videos, etc.) within the timeline specified in the SOW. Delays in content submission may result in project delays, for which SwarupTech is not liable.
2.2 Approvals: Once the Client approves the web design layouts or project deliverables, no changes can be made after development begins unless mutually agreed. Requests for changes to approved designs/layouts will incur additional charges based on the effort required. If the Client refuses to pay for such changes, SwarupTech may terminate the project without refund, providing the source code for work completed up to the termination date.

3. FEES AND PAYMENT

3.1 Payment Structure: The Client agrees to pay 60% of the total project cost as an advance before work begins, with the remaining 40% due as per the payment schedule in the SOW. All payments are non-refundable once work commences.
3.2 Additional Work: Any work beyond the scope defined in the SOW or quotation, including additional features or redesigns, will require advance payment at rates mutually agreed upon in writing.
3.3 Payment Delays: If the Client fails to make payments as per the SOW, SwarupTech will notify the Client via email, WhatsApp, or phone call to settle the outstanding amount within 7 days. Failure to pay may result in project suspension or termination, and SwarupTech reserves the right to pursue legal action. The Client will receive the source code for work completed up to the termination date, but no refunds will be issued.
3.4 Third-Party Costs: Any costs for third-party services, templates, or licenses (e.g., APIs, plugins, or domain registrations) required for the project must be paid by the Client in advance.

4. REFUND POLICY

4.1 Non-Refundable Payments: No refunds will be issued once the project has started, including after the Client approves the design or flow in the SOW.
4.2 Cancellation: Refunds are only possible if the Client cancels the project within 24 hours of the initial payment and before work begins. Refund requests must be submitted to care@swaruptech.com. Approved refunds will be processed within 15-30 days, after deducting service taxes and any costs for work completed, and will be issued to the original payment method.
4.3 No Refunds: No refunds will be provided in the following cases:
– After project commencement or approval of designs/layouts.
– For completed projects or milestones as defined in the SOW.
– For domain registrations, third-party services, or templates.
– If third-party approvals (e.g., APIs, licenses) are not obtained post-development.
– If the Client delays payment after project completion.
4.4 Partial Completion: If the Client has paid only the 60% advance and the project is terminated due to non-payment or Client breach, the Client must pay for any work completed beyond the advance, based on the effort expended, to receive the source code.

5. INTELLECTUAL PROPERTY

5.1 Ownership: Upon full payment, the Client will own the rights to the completed website, excluding third-party elements, pre-existing materials, or proprietary tools provided by SwarupTech.
5.2 Source Code: Source code will be provided to the Client only upon full payment or, in case of termination, for work completed up to the termination date, as outlined in Sections 2.2 and 3.3.
5.3 Portfolio Rights: SwarupTech reserves the right to showcase the completed project in its portfolio and marketing materials.

6. WEBSITE REDESIGN

If the Client requests a redesign after the initial design is approved or the project is completed, it will be treated as a new project, with costs equivalent to the original project quote or based on the effort required. If the Client refuses to pay for the redesign, SwarupTech may terminate the project without refund, providing the source code for work completed up to the termination date.

7. WEBSITE MAINTENANCE

7.1 Warranty: SwarupTech will provide website maintenance (limited to backups and recovery from hacks) for the duration specified in the SOW. Additional maintenance services will incur extra charges.
7.2 Limitations: SwarupTech is not responsible for issues arising from third-party services, Client modifications, or external factors beyond our control.

8. DEPLOYMENT

Once the project is completed and deployed to the Client’s server, no refunds will be issued, regardless of third-party approvals or integration issues.

9. LIMITATION OF LIABILITY

SwarupTech’s liability is limited to the total fees paid by the Client for the project. We are not liable for any direct, indirect, consequential, or incidental damages, including lost profits, data, or business opportunities, arising from the project or use of the Site.

10. TERMINATION

10.1 Grounds for Termination: SwarupTech may terminate the project if the Client breaches any material term of this Agreement, including non-payment, failure to provide content, or refusal to pay for additional work.
10.2 Consequences: Upon termination, no refunds will be issued, and the Client will receive the source code for work completed up to the termination date, provided outstanding payments for completed work are settled.

11. SITE USAGE

11.1 Agreement: By accessing http://www.swaruptech.com, you agree to these Terms and Conditions, our Privacy Policy (available at http://www.swaruptech.com/privacy-policy), and any supplemental terms posted on the Site.
11.2 Eligibility: The Site is intended for users aged 13 and above. Minors require parental consent and supervision.
11.3 Prohibited Activities: You may not use the Site for unauthorized purposes, including data retrieval, fraud, interference with security features, or any illegal activities. Violations may result in suspension or termination of access.
11.4 Intellectual Property: The Site and its content (source code, designs, text, etc.) are owned by SwarupTech or licensed to us and are protected by copyright and trademark laws. You are granted a limited, non-commercial license to use the Site, subject to these Terms.

12. MODIFICATIONS

SwarupTech reserves the right to modify these Terms and Conditions at any time, with changes effective upon updating the “Last Updated” date on the Site. Continued use of the Site or services constitutes acceptance of revised terms.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law: This Agreement is governed by the laws of India, with exclusive jurisdiction in the Bhopal District & Session Court.
13.2 Dispute Resolution: Disputes will first be addressed through negotiation or conversation. If unresolved, SwarupTech may pursue legal action in the Bhopal District & Session Court.

14. INDEMNIFICATION

The Client agrees to indemnify and hold SwarupTech harmless from any claims, losses, or damages, including legal fees, arising from the Client’s breach of this Agreement, misuse of the Site, or violation of third-party rights.
